By accessing or using Zentile ("Service"), provided by FusionLoop AI LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after any changes constitutes your acceptance of the new Terms.

Zentile is a link and resource organization tool that allows users to create workspaces, hubs, stacks, and tiles to manage URLs, tools, bookmarks, and other digital resources.

We offer a free tier and paid subscription plans. Features available under each plan are described on our pricing page at zentile.app/pricing.

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has agreed to these Terms on your behalf.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the Service.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Store or share content that is illegal, harmful, threatening, abusive, or defamatory
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the Service to send spam or unsolicited communications
• Scrape or harvest data from the Service in an automated manner without consent

You retain ownership of any content you create or store within Zentile, including workspace names, tile titles, URLs, notes, and images ("Your Content").

By using the Service, you grant FusionLoop AI LLC a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely for the purpose of providing the Service to you.

You are solely responsible for Your Content and ensuring it does not violate any third-party rights or applicable laws.

Paid plans are billed on a monthly or annual basis as selected at checkout. All fees are in US dollars and are non-refundable except as required by applicable law.

We reserve the right to change pricing with 30 days' notice to subscribers. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

The Zentile name, logo, design, software, and all related intellectual property are owned by FusionLoop AI LLC or its licensors. These Terms do not grant you any right, title, or interest in our intellectual property.

If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free right to use that feedback without restriction.

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSIONLOOP AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $50 USD.

You may stop using the Service and delete your account at any time from your account settings.

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases. We may delete your data within 30 days of account termination.

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Utah County, Utah.
